An exciting opportunity has arisen to join a world leading global organisation. Our client, a blue-chip IT company, is currently seeking an Interim Assistant Company Secretary based at their Leading Software customer site in Newbury. This is a full-time, temporary role for 6 months paid via Ltd/Umbrella company

The Assistant Company Secretary is to support the smooth, fuss-free and legally compliant administration of a portfolio of group entities. They envisage an initial appointment term of six months, but it is possible that this could be extended or that a permanent appointment could follow. The company have around 255 entities in the group, however they expect this to reduce to around 180 by summer 2020 and, in due course, to less than 100. These are/will be spread across 50 different countries.

The person they are looking should have real solid experience of entity management across a wide range of global jurisdictions, including the day-to-day use of Diligent Entities (Blueprint OneWorld) and will know what good looks like. Previous experience of managing entities through a global outsourcing partner and managing relationships with that partner would be extremely valuable, but it is not essential.

Ideally, the post-holder would work at the company's headquarters in Newbury, however they would consider candidates who prefer to be based at their offices in EC2V area, London. Any London-based appointee will need to spend time (typically two days/fortnight) with the rest of the team in Newbury.

Role description

Manage a portfolio of UK and non-UK companies and in particular:

Oversee compliance with all recurring company secretarial obligations (filing of accounts, annual return and equivalent obligations) and issue-driven obligations (appointment/removal of directors, change of registered office, beneficial owner filings, appointment, termination or variation of powers of attorney or other equivalent changes). This includes working with PwC to advise on all execution formalities (translations, soft/hard copy, notarisation and legalisation/apostille) and making sure that we get this right first time.
Work with PwC using their IGCS workflow system to ensure that tasks are captured on that system, minutes are produced, filing is recorded, the compliance tracker is up to date and that Blueprint is updated for the finalised changes in line with the SLA. Approve additional billing amounts where appropriate, through IGCS.
Manage the signature of documents by group executives and deal with all administrative formalities. Update Blueprint for a number of group entities and own the database's integrity
Support corporate projects (Legal Entity Rationalisation, Legacy accounts filing etc) generally and in relation to the portfolio of companies for which you are responsible
Play a full part in company secretarial team meetings and activities and support other team members (including providing holiday cover as necessary).Preferred skills and qualifications

Preferably a chartered governance professional (chartered secretary) but anyone with suitable practical experience would be considered.
You must be able to prioritise and manage multiple competing deadlines, and to be able to adapt your plans as priorities change.
A self-starter who doesn't need close supervision, but also understands that they are part of a team and that they will need to muck in from time to time to make sure that everything gets done.
Ideally, you have ideas on how things could be done and can help them to improve the management of their group entities. While your colleagues will be very experienced, if you've seen things done really well elsewhere, they would like to hear your thoughts and suggestions
